ARTICLE 1: ORDER

1.1. All our sales are governed by these general terms and conditions, to the exclusion of the special terms and conditions of our customers.
1.2. Our customers place an order on our Internet site www.quasys.com
By clicking the Send Envoi button, the customer places a firm order and accepts our general terms and conditions fully, without reservation.
1.3. We will suspend the fulfilment of the order until we have actually received payment.
1.4. We have the right to refuse any order within three working days of receipt for reasonable reasons, for example failure to pay for previous orders or if items are out of stock.
1.5. The data recorded by our site constitute proof of transactions with our customers.


ARTICLE 2 : PRICES

2.1. Our prices are those in force when the order is received from our customer.
2.2. Our prices are given in EUROS, including VAT.
2.3. Transport costs are invoiced in addition.

ARTICLE 3 : PAYMENT

3.1. Payments are made immediately when the order is placed by bank transfer into account BBL 340-0930209-17 or from abroad into account IBAN BE61 3400 9302 0917.
3.2. We will send the invoice to our customers with the articles ordered.
3.3. Any invoice remaining unpaid on the due date will automatically, without formal notice, bear interest on arrears of 1% per month.

ARTICLE 4 : DELIVERY

.4.1. The articles are delivered to the address indicated when the order is placed.
4.2. The delivery deadlines are five working days for a delivery in Belgium, 10 working days for a delivery in another country of the European Union and 15 working days outside the European Union.
4.3. The delivery deadlines begin as of the actual receipt of payment of the order.
4.4. The delivery deadlines are not binding. We may only be held liable if the delay is substantial and may be attributed to a serious error on our part.
4.5. Our customers bear all risks relating to articles sold as of the day of dispatch

ARTICLE 5 : RESERVATION OF OWNERSHIP

The articles sold remain our property until payment has been made in full.

ARTICLE 6 : ACCEPTANCE

Our customers shall be deemed to have accepted the articles sold at the latest three working days as of the day after delivery at the address indicated when the order is placed, unless a precise and detailed complaint is sent to us by post, fax or e-mail before the expiry of this period.

The acceptance shall cover all visible defects, that is all those which our customers would have been able to detect during a careful and thorough inspection.

In the event of a justified complaint, we may, as we prefer either replace the article in question or reimburse the price paid and the transport costs.

ARTICLE 7 : LIABILITIES FOR HIDDEN DEFECTS

7.1. The guarantee for hidden defects is limited to six months as of the day of delivery to the address indicated when the order is placed.
7.2. This guarantee for hidden defects is limited to the replacement of the defective article, and excludes the cancellation of the sale or the payment of damages.

ARTICLE 8 : LIMITATION OF LIABILITY

We may not, under any circumstances, be held liable for damage other than that resulting directly from a defect in the article sold or from our site, and in particular for any interruption or reduction in business, loss of revenue, loss of earnings and any other commercial, economic or financial loss.

ARTICLE 9 : CONFIDENTIALITY

We undertake to treat the personal data of our customers which we gather when receiving orders as strictly confidential. These data will only be used by our services to process orders and manage commercial relations with out customers. We will not pass them on to third parties.

ARTICLE 10 : INTELLECTUAL RIGHTS

Our site and the articles we sell (software programs, information brochures and books) are protected by Belgian legislation and the international agreements on copyright.

ARTICLE 11 : APPLICABLE LAW

Our relations with our customers are governed by Belgian law.

ARTICLE 12 : JURIDICTION

Any disputes relating directly or indirectly to our relations with our customers will fall within the exclusive jurisdiction of the courts and tribunals of Liège.
